Membership By-laws/Agreement 

These Member Rules (the “By-laws”) govern the rights and responsibilities of all Members of DiasporaExp Corp (Diaspora)., a Membership Association registered in Cambridge, Massachusetts. These Member By-laws may be amended from time to time as determined by Diaspora Management and communicated to the Members by posting on the Diaspora website: (www.diasporaexp.com) or in another manner as determined by Diaspora Management.

Diaspora is a Member’s only community providing its Members and approved guests access to elevated experiences for individuals, groups, organizations and businesses with Cannabis in all its forms. Located in the education and innovation capital of the world, Diaspora members will connect with thought leaders, creators and innovators in the arts, sciences, business technology, philanthropy, civic affairs, and other disciplines all centered around supporting a healthy relationship with Cannabis. Diaspora will further promote thoughtful conversation and unique consumption based experiences rejecting antiquated societal norms as permitted by law and in accordance Cannabis Control Commission guidelines.

These Membership By-laws are binding on all Members and govern the operations of Diaspora events. All Members hereby affirm to have read, understood and abide by the the By-laws listed below.

1. Members. All Members are entitled to the benefits delineated in this Membership Agreement.

2. Membership Duration. Diaspora Membership and benefits shall continue at least 90 days from the date of the Approval Membership may be revoked by Management for any reason at the sole discretion of Management. Based upon the circumstances of the revocation Diaspora Management may determine in its sole discretion to refund all or a portion or none of the initiation fee and or charges. Memberships are Non-transferable, including by cause of death or dissolution. If a Member elects to Terminate the Membership the Termination must be sent to Diaspora (info@diasporaexp.com), The departing Member shall pay all costs incurred to the Association including administrative costs. A Member may be removed for failure to pay fees, or other charges, for violating a provision of Diaspora Rules, engaging in any illegal conduct at the Premises, for committing vandalism at the Premises, engaging in altercations, unreasonably disturbing other Members or Approved Guests and/or neighboring residents, or other conduct unbecoming as a Member. A Member who is removed shall not be entitled to any refund of prepaid fees or initiation fee and will continue to owe the balance of any charges incurred. Membership is automatically renewed unless termination or revoked.

3. Membership Benefits. Club Members shall have access to exclusive Diaspora events, rewards, offerings and consumption friendly Private Events space(s) as provided for on the events calendar. Access to the Private Event space and activities will be on a first come first serve basis. For Member Private Event rentals a separate Rental Agreement shall be required prior to confirming any event rental.

4. Member Warranty: The Members shall hold Diaspora harmless and Indemnify Diaspora and its agents against from all claims, losses and liability of whatever nature (including attorney’s fees) incurred by Diaspora (directly or indirectly) including any act or omission of a Member of their Approved Guests, agents, contractors or affiliates in connection with their Membership activities.

5. Consent To Use of Likeness. From time to time, Diaspora’s appointed staff and photographers/videographers will be capturing key events. By entering and remaining in those events and areas, you consent to being photographed or otherwise recorded, and to the use of your likeness for commercial purposes by Diaspora. We may pixelate or use other methods to obscure the identity of Members or guests as requested.
A. Permitted Use of Cameras/Recording Devices. Cameras and recording devices may be used by Members or Approved Guests while on Diaspora premises. Diaspora reserves the right to use any images or video taken on premises.

6. Membership Access. Members will be provided with the appropriate means in which to access various locations for Diaspora Events as determined by the Diaspora. For any event of Diaspora, Members hereby agree with the appropriate means in which to access Diaspora premises. Members are not to misuse, allow others (whether Members or Approved Guests of Members) to use their Membership Access. Each Member will be responsible for the safekeeping of Club Membership Access that is issued to the Member. Where any Member allows his or her Diapora Access to be used by Non-Member guests, should Non-Member guest shall be denied access to or removed from the premises and the Member whose Access was used may face suspension or termination of their own Membership. Members are responsible for the conduct of the Non-Member approved guests and must ensure the Non-Member approved guest abides by the Diaspora ByLaws and all applicable laws.

A. Private Events. All members, approved guests and occupants must be 21+ to access the premise. Members are encouraged to host events at Diaspora Event locations and will work with Members to plan memorable events of all kinds. Private events shall be hosted by a Member who is personally present at the event, unless otherwise approved by Diaspora Management. Said Member is solely responsible for all charges incurred at the event and conduct of their approved guests. If permitted by Diaspora Management, selected parts of the premises may be designated as event spaces. Hosting Members shall comply with all terms and conditions of the Private Event Agreement with the Diaspora, which shall be in addition to the terms and conditions of these Diaspora Bylaws. Approved Guests who participate in the event are limited to the location of the event, unless accompanied by a Member or otherwise approved by Diaspora Management. Once an event has completed, Approved guests shall not have further access to Diaspora and shall vacate the premises, unless they are accompanied by a Member or otherwise approved by Diaspora Management.

B. Alcohol Policy. Alcoholic beverages are allowed and may be served at Diaspora events, we expect all Members and approved guests to moderate their usage and refrain from boisterous or disruptive behavior as a result of their intake. Diaspora reserves the right to refuse to serve alcoholic beverages to Members and approved guests who appear to be intoxicated or unruly. Alcoholic beverage services on premises will comply with all federal, state and local laws, Massachusetts Rules and regulations, including minimum drinking age laws. No alcohol may be removed from the premises.

C. Illegal Activities. No illegalities shall be permitted on the premises including but not limited to any Member or approved guest(s) purchasing, using, possessing, selling, soliciting, or otherwise distributing illegal drugs or other substances or attempting to do any of the same with a Member or approved guest. For the purposes of this section, Cannabis shall not be considered illegal at Diaspora events. The previous provision notwithstanding, NO CANNABIS SALES are allowed whatsoever. Diaspora has an obligation to immediately report any illegality or Cannabis Sales on the premises including possession of an illegal substance: any physical altercation between any individuals at the premises and any individual under the age of Twenty-one (21) in possession of an alcoholic beverage. Failure of Diaspora to report any illegality on the premises to the police may result in disciplinary action against Diaspora. Should Diaspora observe or learn of any illegality on the premises, it shall immediately call the police and reserves the right to terminate or suspend the Member and/or approved guest in question. The aforementioned Member and/or approved guest may be removed from the premises by Diaspora at its discretion pending the arrival of the police. No Member and or approved guest shall bring alcoholic beverages onto the premises.

D. Anti-Harassment and Anti-discrimination Policy. Sexual harassment or unwanted sexual advances towards persons of any sex will not be tolerated. Diaspora prohibits all form of harassing or discriminatory conduct based on an individual’s race, religion, national origin, sex sexual orientation, gender identity, ancestry or disability. Any Member, approved guest or staff who observes any such conduct is urged to report it to Diaspora Management. Harassing conduct prohibited by this policy can take many different forms including, but not limited to, written, verbal, physical or visual contact or gestures. Harassment will be determined in accordance with the experience of the victim rather than the intentions of the perpetrator.

E. Consumption Policy. Smoking Cannabis is permitted in designated areas at Private events in designated areas. Members and approved guests wishing to smoke cannabis products including e-cigarettes, vape pens, and similar devices pipes or cigars must be in designated areas of the premises to do so.

F. News and Social Media Policy. Diaspora has a strict no unauthorized press policy for Members. Members and approved guests are not permitted to speak to the media on behalf of Diaspora or about Membership events and activities related to Diaspora. Members and approved guests will be held accountable if they disclose or identify any other Member or approved guest who are at a Diaspora Event or any radio television or online news media, or social media including but not limited to Facebook, Instagram, Twitter, LinkedIn, Snapchat, YouTube, Vimeo and on personal blogs.

G. Trademark Rights. Members and approved guests shall not use the names, logos, colors, trademarks, service marks, photographs, trade dress, other identifying features or intellectual property of Diaspora without obtaining the specific prior written approval for the specific use. You hereby expressly recognize that Diaspora’s IP is the valid, unique and exclusive property of Diaspora, its parent, affiliates and or subsidiaries. Members and approved guests may not produce, use or create, or authorize others to produce, use or create, Diaspora IP for any purpose whatsoever, including, but not limited to, in any communications, marketing, advertising or promotional materials (including, but not limited to, brochures, Flyers, invitations and e-mail messages that utilize the Diaspora IP without the Diaspora prior written consent.

H. Guest Adherence Policy. Each Member is responsible for ensuring that his or her approved guests are aware of Member By-laws and Terms and Conditions, and their compliance with the same. Every restriction on Members is equally applicable to approved guests. No person under the age of 21 shall be permitted whatsoever at Private Events unless permitted in writing by Diaspora prior to entry.

7. Conduct of Guests. Members shall ensure their visiting approved guests are aware of Diaspora regulations stated in these Bylaws. Diaspora reserves the right to limit the number of approved guests during ticketed events and or specific time periods. Members are responsible for the conduct of their visiting approved guests and for any unpaid charges occurred. Members shall pre-register their approved guests prior to the Diaspora Event and shall agree to all applicable BY- Members shall be present at the premises when their approved guests arrive, and accompany their approved guest at all times.

8. Premises Access. All Members of Diaspora have full access to all areas listed in the Private Event Agreement unless otherwise specified.

9. Service Animals. Members and Approved guests may bring service animals within the premises pursuant to applicable law including but not limited to the Americans with Disabilities act and Massachusetts General laws chapter 272 & 98A. Diaspora may also allow emotional support, therapy, comfort, companion, or other animals within the premises provided approval is granted by Management.

10. Food and Beverage. Please refrain from bringing any outside food or beverages to Diaspora unless medically necessary or approved by Management.

11. Restrooms. Entry to a restroom stall is limited to one (1) person at a time unless medically necessary in accordance with ADA guidelines.

Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the technology assets and services provided by Diaspora ("Company") for collecting data from members through Diaspora technology assets and sending marketing communications and messaging. By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use our services. 

2. Privacy and Data Collection

a. Data Collection: By using our services, you consent to the collection, storage, and processing of your data, including but not limited to personal information, as described in our Privacy Policy. We may collect data through our Diaspora technology assets, including user-generated content and information provided by you during registration or while using our services.

b. User Consent: You affirm that you have obtained all necessary consents and permissions from individuals whose data you provide or submit through our services.

3. Use of Data

a. Marketing Communications: We may use the data collected to send marketing communications, newsletters, promotions, and other informational content to you. You may opt-out of these communications at any time by following the instructions provided in the communications or by contacting us directly.

b. Messaging: Our services may include messaging features that allow you to communicate with other members. You agree to use these features responsibly and in accordance with applicable laws and regulations. We reserve the right to monitor and moderate messages for compliance with our policies.

4. User Responsibilities

a. Accuracy of Information: You are responsible for providing accurate and up-to-date information when using our services. You agree not to provide false or misleading information.

b. Compliance with Laws: You agree to use our services in compliance with all applicable laws and regulations, including but not limited to data protection and privacy laws.

c. Prohibited Activities: You may not use our services for any unlawful, harmful, or unauthorized purpose, including but not limited to spamming, harassment, or engaging in any activity that violates these Terms.

5. Intellectual Property

a. Ownership: All content and materials provided through our services, including text, graphics, logos, software, and trademarks, are the property of the Company or its licensors and are protected by intellectual property laws.

b. Limited License: You are granted a limited, non-exclusive, and non-transferable license to use our services for their intended purposes. You may not reproduce, modify, or distribute our content without our prior written consent.

6. Termination

We reserve the right to terminate or suspend your access to our services at our sole discretion, with or without cause, and without notice. You may also terminate your account by contacting us.

7. Disclaimers and Limitations of Liability

a. No Warranty: Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be error-free, uninterrupted, or free from viruses or other harmful components.

b. Limitation of Liability: To the extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of our services.

8. Changes to Terms

We may update or modify these Terms at any time, and such changes will be effective upon posting on our website. It is your responsibility to review these Terms regularly.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].
